Disclosure Policy
1. Basic Policy on Information Disclosure (Policy)
It is the basic policy of the Company to disclose important information regarding our management policy, business activities, and business performance to all stakeholders, including but not limited to shareholders and investors, in a fair, timely, and appropriate manner. By doing so, the Company complies with laws and regulations, as well as disclosure rules established by the financial instruments exchanges, and to promote transparent management.
2. Standards for Information Disclosure (Standards)
The Company discloses information in accordance with the provisions of the Companies Act, the Financial Instruments and Exchange Act, other applicable laws and regulations, and the "Rules on Timely Disclosure of Corporate Information" established by the Tokyo Stock Exchange (hereinafter referred to as the "Timely Disclosure Rules"). Additionally, the Company proactively discloses information that are determined to materially affect investors' investment decisions. Non-financial information (such as ESG information) is also disclosed as necessary.
3. Methods of Information Disclosure (Disclosure Methods)
Important information subject to the Timely Disclosure Rules is disclosed via "TDnet (Timely Disclosure network)" provided by the Tokyo Stock Exchange. Further, statutory information required under the Financial Instruments and Exchange Act is disclosed via "EDINET", the electronic disclosure system provided by the Financial Services Agency, as well as promptly disclosed on our website. In addition, the Company discloses financial results briefings and investor presentation materials through widely available means to ensure fair access to information for all recipients.
4. IR Activities Structure
IR activities of the Company are led by the Corporate Planning Office and conducted under the direction of the Representative Director, the Head of the Corporate Planning Office, or the CFO. Additionally, the Company works closely with the Corporate Planning Office to ensure the consistency and integrity of the disclosed information. In dealing with investors, in principle, the Company acts within the scope of publicly disclosed information and has established a system to prevent inappropriate disclosure of insider information.
5. Silence Period
To prevent the leakage of financial results information and ensure fairness, the Company has designated the period from the day after the end of each quarter to the day of the announcement of such results as a "Silence Period." During this period, we refrain from answering questions or giving comments related to business forecast and the financial results. However, even during the Silence Period, if there is a possibility of a significant deviation from the business forecast, the Company discloses information appropriately via TDnet and other means, in accordance with the Timely Disclosure Rules.
6. Policy on Unclear Information
With regard to information disclosed by the press or third parties, as a general rule, we refrain from commenting on information whose accuracy the Company cannot guarantee. However, if we determine that information has been disseminated that may cause significant misreporting or misunderstanding in the market, the Company will disclose the information appropriately through TDnet or other means as necessary.
7. Policy on Handling of SNS and Third-Party Media
The Company places importance on the accuracy and fairness of information disclosed on its official social media accounts and third-party media. Social media are positioned as a supplementary mean of providing information and are used with the purpose of supplementing and publicizing information officially disclosed on TDnet, etc. In this regard, posts on third-party social media and articles in external media do not necessarily represent the official views of the Company.
